mselect is looking to hire a Cooperate Lawyer for an international industrial client in Baghdad. Candidates must have a minimum of 5 years of experience in corporate law; Fluency in English and Arabic is a must.
KEY RESPONSIBILITIES
Functional responsibilities:
- Legal opinions and inputs in business strategies and developments: appraise the company management on overall legal environment, requisite permits/authorizations and the company’s eligibility for the same and recommended actions to secure maximum benefits and protection available under the law. Legal Counsel is supporting the legal team in performing this task
- Corporate structuring and joint venture agreements: efficient corporate structure and joint venture agreement, if applicable, protecting the interests and strategies of the company. Legal Counsel is supporting the legal team in performing this task and is responsible for incorporation of companies as required
- Legal due diligence and mergers and acquisitions: arrange legal due diligence and implement legal documentation (shares/assets purchase agreement, shareholders/joint venture agreement, transfer registration etc.) in case the company wishes to develop through mergers and acquisitions. Legal Counsel is supporting the legal team in performing this task and is responsible for driving the process of transfer registration
- Corporate governance: implement corporate governance best practices including the board/general meetings regularly providing information and documents in advance and as required by law and thereby help managing relationships with local partners, ensuring proper delegation of authorities to conduct transactions on behalf of the company. Legal Counsel is supporting the legal team in performing this task and is responsible specifically for the company in Iraq (outside Kurdistan region)
- Licenses, permits and authorizations: the required licenses, permits and authorizations for its businesses and developments and help the company (the concerned department) to obtain the same, maintain validity by timely renewal, if applicable, and complying with its terms and conditions. Legal Counsel is supporting the legal team in performing this task and is responsible for following up on timely renewal and compliance
- Protection of assets (fixed, current and IP rights): Advise the company management on the required actions to protect the assets and help implement such actions. Legal Counsel is supporting the legal team in performing this task and is responsible specifically for the company in Iraq (outside Kurdistan region) actions to protect their assets such as lands, buildings, equipment, IP rights
- Review of contracts: draft/review all contracts that the company is required to enter for financing, purchasing, construction, selling, employment etc. to ensure protection of the company’s interests, compliance with laws and company policies and procedures and help the respective departments in negotiation of the legal terms, as necessary. Legal Counsel is supporting the legal team in performing this task and is responsible for certain contracts for the company in Iraq (outside Kurdistan region)
- Policies, procedures and best practices: help the respective departments of the company to adopt and implement all policies, procedures and best practices of the company and in addition any other policies, procedures and best practices required to be implemented under the local laws and in view of the local business environment. Legal Counsel is fully responsible to plan and monitor the required actions for implementation of this task
- Critical communications: review all critical communications from and to the company especially with the regulatory bodies and other external stakeholders. Legal Counsel is supporting the legal team in performing this task
- Disputes and litigations: manage all disputes and litigations to protect the interests of the company. Legal Counsel is supporting the legal team in performing this task and is responsible specifically for the company in Iraq (outside Kurdistan region) litigation management with the external lawyers
- Legal reporting: ensure all corporate information, significant commitments and off-balance sheet commitments are reported properly and on time in the legal reporting database of the company)

- Develop Country Shared Folder and Group Legal Portal as key resource for sharing of information and know-how
- Consult local company lawyers where possible before having recourse to external lawyers
- Hold regular meetings with other company lawyers on a country/regional basis
Mobility:
- Encourage mobility of company lawyers as a tool for improving skills and experience
